MCA Proposes Companies (Incorporation) Amendment Rules, 2026: Higher DIN Cap and Fewer Post-Incorporation Forms

Source: As summarised by Treelife, IncorpX and other company law compliance commentary on the MCA notification dated 8 April 2026. This article has been independently researched and written by S&S Co. Advocates & Solicitors for informational purposes; readers should consult the Ministry of Corporate Affairs' official notification for the precise text of the amended rules.

The Ministry of Corporate Affairs has reportedly proposed the Companies (Incorporation) Amendment Rules, 2026, discussed in compliance commentary around 8 April 2026 and described by commentators as one of the larger proposed reductions in incorporation-related paperwork since the Companies Act, 2013 came into force. At the time of writing, several sources described the rules as still at the draft or consultation stage; businesses should verify the current notification status before treating any specific provision as settled law.

Among the changes reported, the cap on the number of proposed directors who can be allotted a Director Identification Number at the time of incorporation itself, previously capped at three, has reportedly been raised to five, reducing the need for newly incorporated companies to separately apply for DIN allotment for additional directors shortly after incorporation. Form DIR-12, used to notify the Registrar of changes among a company's directors, is reported to have been omitted, with the information it previously captured reportedly folded into other filings, and subscribers to the Memorandum of Association are reported to receive deemed consent to act as directors, removing a separate consent filing step in the ordinary case.

Commentary has also referred to a broader consolidation of post-incorporation e-forms aimed at reducing the number of separate filings a company must make for routine changes, though the precise number and form codes involved vary across sources and should be confirmed against the primary notification. A further change reported is a shift in how the Registrar verifies a company's registered office, moving from a previously mandatory physical inspection in every case toward a more risk-based, discretionary model under which inspection would be triggered selectively rather than as a universal requirement.
